This Institutional License Agreement ("Agreement") governs the relationship between Pulse GTM LLC, operator of ResumePulse AI ("we," "our," or "us"), and institutions — including community colleges, universities, technical schools, vocational programs, bootcamps, and military transition programs — that purchase institutional access licenses ("Institutional License").
This Agreement is read in conjunction with our general Terms of Service. In the event of a conflict, this Agreement controls with respect to institutional use.
1. License Grant
Upon payment of the applicable annual license fee, Pulse GTM LLC grants the purchasing institution a limited, non-exclusive, non-transferable, non-sublicensable license to provide ResumePulse AI access to currently enrolled students, faculty, and authorized career center staff ("Authorized Users") for the duration of the license term.
2. Access Codes
Institutional access is provided via a unique access code issued to the institution ("Access Code"). The institution is responsible for distributing the Access Code solely to Authorized Users. Sharing Access Codes with individuals outside the institution, reselling access, or using the Access Code for commercial purposes is a material breach of this Agreement and will result in immediate termination of the license without refund.
3. Usage Limits
Each Institutional License tier includes a maximum number of optimization runs per license year as specified at the time of purchase. Pulse GTM LLC will provide notice to the institution's designated administrator when usage reaches 90% of the allotted limit. Upon reaching the limit, new optimization requests will be suspended until the institution upgrades its tier or renews for an additional run allocation. Pulse GTM LLC is not liable for any disruption in service resulting from the institution exhausting its run allocation.
4. Annual Term and Renewal
Institutional Licenses are valid for one (1) year from the date of activation. Licenses do not renew automatically. Access Codes will be deactivated upon expiration of the license term. Institutions wishing to renew must execute a new license agreement and remit payment prior to expiration to avoid service interruption.
5. Payment Terms
Institutional License fees are due in full within thirty (30) days of invoice. Pulse GTM LLC reserves the right to suspend or terminate access for non-payment. All fees are in USD and non-refundable except as required by applicable law or as explicitly agreed in writing by Pulse GTM LLC.
6. Student Data and Privacy
Resume content submitted by Authorized Users is processed in real time solely for the purpose of generating an optimized resume and is not retained by Pulse GTM LLC after delivery. Pulse GTM LLC does not build student profiles, share student data with third parties, or use student-submitted content for any purpose beyond delivering the requested service.
The institution is responsible for informing its students that their resume content will be processed by ResumePulse AI and for obtaining any consents required under applicable law, including the Family Educational Rights and Privacy Act (FERPA).
7. No Resale or White-Labeling
Institutions may not resell, relicense, or rebrand the ResumePulse AI service. The service must be made available to Authorized Users under the ResumePulse AI name and branding. Any white-label or co-branded arrangements require a separate written agreement with Pulse GTM LLC.
8. Pilot Programs
Institutions participating in a free pilot program receive a temporary Access Code with a limited run allocation and a defined pilot period, at no charge. Pilot programs are provided "as is" with no service level commitments. Upon conclusion of the pilot period, access will be suspended unless the institution executes a paid Institutional License. Pilot runs do not carry over to a paid license term.
9. Termination
Pulse GTM LLC may terminate an Institutional License immediately upon written notice if the institution materially breaches this Agreement, including unauthorized distribution of Access Codes, non-payment, or use of the service in a manner that violates applicable law. Upon termination, the institution's Access Code will be deactivated and no refund will be issued for any remaining unused portion of the license term.
10. Limitation of Liability
To the maximum extent permitted by law, Pulse GTM LLC's total liability to the institution for any claims arising under this Agreement shall not exceed the total fees paid by the institution in the twelve (12) months preceding the claim. Pulse GTM LLC is not liable for indirect, incidental, consequential, or punitive damages of any kind.
11. Disclaimer of Warranties
ResumePulse AI is provided "as is" without warranty of any kind, express or implied. Pulse GTM LLC does not warrant that the service will be uninterrupted, error-free, or that optimization results will meet any particular standard or guarantee employment outcomes for students.
12. Governing Law
This Agreement is governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of Williamson County, Tennessee.
13. Entire Agreement
This Agreement, together with our general Terms of Service and any executed order form or pilot agreement, constitutes the entire agreement between the parties with respect to institutional use of ResumePulse AI. It supersedes all prior negotiations, representations, or agreements relating to its subject matter.
14. Changes to This Agreement
Pulse GTM LLC may update this Agreement from time to time. Institutions will be notified of material changes via the administrative contact email on file. Continued use of the service after the effective date of changes constitutes acceptance of the updated Agreement.
